Terms you may hear along the way.
Definitions are simplified for planning. The signed contract, lender, attorney, and governing agency control.
- BAA
- Buyer Agency Agreement: the written agreement describing the buyer-agent relationship and compensation.
- CMA
- Comparative Market Analysis: a property-specific review of relevant market activity used to discuss pricing.
- Due diligence fee
- A negotiated fee paid to the seller for the buyer’s contractual right to investigate and terminate during the due diligence period, subject to the contract.
- Earnest money
- A negotiated deposit generally held in trust and handled according to the contract.
- NOI
- Net Operating Income: effective property income minus operating expenses, before debt service and income taxes.
- Cap rate
- NOI divided by value or purchase price; a screening ratio, not a complete return analysis.
- DSCR
- Debt Service Coverage Ratio: NOI divided by annual debt service.
- CAM / NNN
- Common Area Maintenance and triple-net lease terms describe expenses a tenant may reimburse or pay; read the lease.
- LOI
- Letter of Intent: a preliminary outline of proposed business terms; whether provisions are binding depends on its language.
- Phase I
- A Phase I Environmental Site Assessment reviews records, site conditions, and recognized environmental conditions.
- Zoning
- Local rules governing permitted uses and development standards. Zoning alone does not prove a site is buildable.
- Certificate of occupancy
- Local authorization indicating a building or space may be occupied for an approved use.
- Appraisal
- An independent opinion of value; it is different from an inspection and does not guarantee property condition.
- Title insurance
- Coverage for specified title risks under the policy; owner and lender policies protect different insured parties.
